ULTIMATE BOAT CLUBS, INC. SWEEPSTAKES

OFFICIAL CONTEST RULES

NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN. The Grand Prize drawing in the "ULTIMATE BOAT CLUS, INC. SWEEPSTAKES" (the Sweepstakes) will be held at 7:00 p.m. EST on Friday, April 4, 2008. Entrants are subject to, agree to comply with and are bound by these Official Rules for the Sweepstakes and the decisions of Ultimate Boat Clubs, Inc. ("Ultimate") with respect to all aspects of the Sweepstakes. The Sweepstakes is open to all eligible entrants who are, on or before 12:00 p.m. EST on April 1, 2008 (the "Final Registration Date")submit entries into the Sweepstakes. Employees of Ultimate and their respective agents, affiliates, subsidiary and parent companies, sales representatives, marketing affiliates and partners, distributors, advertising and promotion agencies and members of the immediate families or household of each are not eligible to participate in the Sweepstakes.

HOW TO ENTER. To be eligible for the Sweepstakes, an individual entrant must fill out and submit the required registration materials at Ultimate's booth in the main concourse at the Sound Tigers® arena at Harbor Yard 600 Main St. Bridgeport, CT facility, open during five of the Sound Tigers® regular season home games or an individual must fill out and submit the required registration materials on the Ultimate web site which can be accessed through the Sound Tigers® web site or at www.ultimateboatclubs.com/soundtigers or mail with a self-addressed stamped envelope to Ultimate Boat Clubs, Inc. "Ultimate Sweepstakes, 90 Grove Street, Suite 205, Ridgefield, CT 06877. Only one entry per person. Ultimate is not responsible for late, lost, incomplete, or misdirected entries or other human or machine errors in submitting entries, errors in offer or the registration in the Program or the administration of Sweepstakes. Ultimate is not responsible for incorrect or inaccurate entry information. All entries become the property of Ultimate and will not be returned.

WINNER SELECTION. One winner will be selected from among all eligible entries received, in a random drawing to be held at the Sound Tigers home game on April 4, 2008. The drawing will be conducted by Ultimate or its designee. There will be One (1) Grand Prize awarded, consisting of a Weekday Boat Club Membership in Ultimate Boat Clubs. The approximate retail value of the Grand Prize is USD$3,900. Winner will be solely responsible for the payment of all applicable taxes and fees related to the Prizes. Winner may make no substitution or transfer of either Prize. Sponsor reserves the right to substitute a prize of equal value for the Grand Prize. The judge's decisions are final on all matters relating to the Sweepstakes. Ultimate will attempt to notify winner by May 1, 2008 (the "Final Notification Date") by email and by telephone or mail. If winner does not respond to Ultimate's notification attempts (or if winner cannot be notified by Ultimate) on or before the Final Notification Date, Ultimate reserves the right to determine an alternate winner from a random drawing of remaining eligible entries. Winners must sign and return any required documentation including, without limitation, an affidavit of eligibility, a liability release and a publicity release in order to accept either Prize. If either Prize is rejected or not accepted for any reason, or in the event of noncompliance with the rules or if either Prize notification is returned, the Prize will be forfeited and an alternate winner will be selected in a random drawing conducted by Ultimate. Odds of winning depend on the total number of eligible entries received. A PURCHASE DOES NOT INCREASE ONE'S CHANCE OF WINNING.

MISCELLANEOUS. By entering, participants, (a) agree to be bound by the official rules and the decisions of Ultimate with respect to all drawings and winners; (b) agree to release Ultimate and their respective employees and agents from any and all liability, loss, damage or injury resulting from participation in this promotion or awarding, receipt, possession use and/or misuse of any prize awarded herein and acknowledge that Ultimate, and its employees and agents have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize including, but not limited to, its quality, mechanical condition or fitness for a particular purpose; and (c) consent to use of his/her name, photograph and/or likeness for advertising and promotional purposes in connection with this promotion without additional compensation, unless prohibited by law. Ultimate reserves the right, in its sole discretion, to modify, suspend or terminate the promotion should a problem arise beyond the control of Ultimate, Inc. Ultimate makes no warranty, guaranty or representation as to the operation or function of the Prize.

This Sweepstakes is governed by the laws of the State of Connecticut without regard to its conflict of laws. For the name of the winner, please send a request, together with a self-addressed, stamped envelope to "Ultimate Sweepstakes Winner, Ultimate Boat Clubs, Inc., 90 Grove Street, Suite 205 Ridgefield, CT 06877, on or before April 1, 2008.
